Ireland Fund Domicile

Ireland Fund Domicile

Ireland is the EU liquid-alternatives and ETF workhorse — the only English-speaking common-law EU member, with a tax-exempt fund regime, a 24-hour QIAIF fast-track, and the ICAV US check-the-box election that lets one vehicle serve both EU and US-taxable investors. It is for liquid, UCITS and ETF strategies and fast-closing private-capital challengers, not for Luxembourg-scale private-markets depth. ^[reports/Fund domicile profiles/Ireland.md]

^[reports/Fund domicile profiles/Ireland.md]

  • ICAV (2015) — default open-ended vehicle, UCITS or AIF, can check the box for US tax
  • Investment Limited Partnership (ILP) — closed-end private equity, venture, credit and real assets (modernised 2020, non-Irish GP permitted)
  • Unit trust — traditional retail UCITS
  • Common Contractual Fund (CCF) — tax-transparent institutional and pension pooling
  • Section 110 company — tax-neutral securitisation and structured-credit SPV
  • QIAIF and RIAIF are regulatory classes, not legal forms — they cut across ICAV, unit trust, CCF and ILP

Tax posture

  • QIAIFs and UCITS are exempt from Irish tax on income and gains, with no stamp or transfer duty on units
  • The ICAV can check the box to US partnership treatment, so income flows through without a PFIC overlay — a US-only election that does not change Irish corporate status
  • In its default, non-electing form an ICAV is a PFIC for a US taxable investor — the single most important item to verify before investing
  • Section 110 gives tax-neutral securitisation; withholding relief flows through the Ireland DTA network plus EU directives
  • Carry sits at the ILP general-partner layer under home-country rules

Why chosen, when not

  • Choose for ETFs and liquid alternatives (25-year heritage, about half the global ETF market), the 24-hour QIAIF, common-law clarity and English-language convenience for US and UK sponsors
  • Avoid for deep private-capital and private-debt scale (Luxembourg holds about 57% of European private capital) or for global multi-strategy hedge (Cayman 56% versus Ireland 6% of flagships)

Structure roles

  • Fills the EU liquid and UCITS feeder and master role and, increasingly, the EU private-capital master or parallel via the ILP
  • The ICAV check-the-box lets it serve master-feeder structures for both US and non-US investors without a separate onshore feeder — a role Cayman cannot play for US-taxable investors

Market data

  • About €5.5trn Irish-domiciled NAV across 15,561 funds (CBI, December 2025); total administered assets about €7.2trn
  • $1.617trn Irish ETFs, 74.2% of European ETF AuM (December 2024); 95% of 2024 European ETF launches were Irish
  • 6% of emerging-manager flagships (2026) versus Luxembourg 3% and Cayman 56%
  • Irish-domiciled fund count grew from 8,903 at end-2024 to 9,254 at end-September 2025

Regulatory weather 2023–2026

  • Enacted: AIFMD II transposed May 1, 2026 via S.I. 181/182 of 2026
  • Enacted: ELTIF 2.0 applies since January 10, 2024 (13 Irish ELTIFs by May 2025)
  • Enacted: Pillar Two in force via Finance (No. 2) Act 2023, biting at manager and group level rather than the tax-exempt fund
  • CBI macroprudential: property-fund liquidity measures (compliance by May 2024) and GBP-LDI measures
  • 2025 authorisation: 654 UCITS and 281 QIAIFs, blended average 91 days (up from 88)

Watch items

  • ETF-industry concentration — 74% of European ETF assets in one jurisdiction is a single-point-of-failure exposure
  • CBI capacity — blended authorisation time rose to 91 days and 15 QIAIFs were rejected in 2025
  • ILP adoption uncertainty — no ILP-specific formation count is published, so private-capital ambition rests on features, not numbers
