Fund Domiciles

No single domicile wins on every axis; the choice is really a decision about which axis matters for a given investor base and strategy — tax neutrality, a marketing passport, or US-capital familiarity. ^[reports/Fund structuring tax jurisdictions.md]

Cayman: the neutrality default

Cayman leads on tax neutrality and global allocator familiarity, imposing no income, corporate, capital-gains, or withholding tax and no exchange controls. ^[reports/Fund structuring tax jurisdictions.md] The 2026 AIMA/Marex Emerging Manager Survey put Cayman at 56% of flagship domiciles, up from 55% in 2024 and 54% in 2022 — a share that rose through the very period Cayman tightened its regime. ^[reports/Fund structuring tax jurisdictions.md] CIMA's Q2 2024 statistics counted 17,020 registered private funds and 8,769 mutual funds. ^[reports/Fund structuring tax jurisdictions.md] The tightening is real: the Private Funds Act (2020) brought closed-end funds under CIMA supervision with a 21-day registration window and annual audit, and the Beneficial Ownership Transparency Act 2023 (in force July 31, 2024) extended beneficial-ownership registers to limited partnerships. ^[reports/Fund structuring tax jurisdictions.md]

Luxembourg: the regulated EU leader

Luxembourg is the dominant regulated EU domicile — 57% of European private-capital funds (Preqin, presented September 2024) and 64% of private-debt funds by RAIF in the ALFI/KPMG 2025 survey, with SCSp the legal form in 80% of cases. ^[reports/Fund structuring tax jurisdictions.md] Its edge is the AIFMD full-scope marketing passport and ~90+ double-tax treaties, plus the RAIF (2016), which requires a licensed AIFM but no CSSF pre-approval — speed-to-market while retaining the passport. The ELTIF 2.0 regime (Regulation (EU) 2023/606, applied January 10, 2024) opened a retail-facing long-term wrapper. ^[reports/Fund structuring tax jurisdictions.md]

Ireland, Delaware, and the specialists

Ireland is the EU's liquid-alternatives workhorse — the ICAV is the default open-ended vehicle, QIAIFs are tax-exempt at fund level, and Ireland hosts roughly half the global ETF market — but it drew only 6% of emerging hedge-fund flagships in 2026. ^[reports/Fund structuring tax jurisdictions.md] Delaware/the US is itself the offshore-equivalent for non-US investors who value LP-law clarity and global allocator familiarity, hence its 16% emerging-manager share, second only to Cayman — with non-US capital held through 21% blockers rather than facing 30% ECI. ^[reports/Fund structuring tax jurisdictions.md]

The growth edges: Asia and the Gulf

Singapore's VCC (90+ treaties, §13U exemption) and Hong Kong's OFC (Type 9 licensing, ~45 treaties) compete on treaty depth and regulatory credibility rather than tax, since both are fund-level tax-exempt. ^[reports/Fund structuring tax jurisdictions.md] The fastest-growing destination is the Gulf: DIFC AUM surged 58% to ~$700bn in 2024, while ADGM AUM grew 245% in 2024 and a further 42% in H1 2025, pulled by sovereign-wealth concentration, 0% corporate tax, and English-common-law free zones; a UAE April 2024 fund reform drew roughly 36 new DIFC public funds including BlackRock, Goldman, and Franklin Templeton. ^[reports/Fund structuring tax jurisdictions.md]

Pressure points

  • OECD Pillar Two — a 15% global minimum tax for groups ≥ €750M revenue phased in from 2024, but more a manager/group-level issue than a fund-domicile one, since Article 7 of the GloBE rules gives investment entities special treatment. ^[reports/Fund structuring tax jurisdictions.md]
  • AIFMD II — new Annex IV reporting (April 2026, enhanced standards from April 16, 2027) and delegation-substance requirements. ^[reports/Fund structuring tax jurisdictions.md]
  • FATCA / CRS — cross-border information exchange; Cayman's beneficial-ownership and CRS regimes now carry real enforcement teeth. ^[reports/Fund structuring tax jurisdictions.md]

For a value investor, domicile choice is a capital-allocation decision made once and amortized over a fund's life — the wrong jurisdiction taxes or blocks the very investors the strategy needs, long before any security is bought. See public-vs-private-markets for how domicile feeds the private-market liquidity and disclosure trade-offs.
