Luxembourg Fund Domicile
Luxembourg Fund Domicile
Luxembourg is the dominant regulated EU fund domicile and the number two global fund centre by assets. It is for managers who need the AIFMD marketing passport, treaty and directive withholding relief, and EU institutional and pension acceptance, with a vehicle menu (SCSp-form RAIF, SOPARFI, ELTIF) built for private capital. ^[reports/Fund domicile profiles/Luxembourg.md]
| Field | Detail |
|---|---|
| Legal posture | Civil-law EU member; full AIFMD jurisdiction |
| Regulator | Commission de Surveillance du Secteur Financier (CSSF) |
| Tax headline | 0% fund-level tax on most alt forms (0.01% subscription tax); 24.94% corporate rate on SOPARFI holdcos; 94 signed tax treaties |
| Market rank/share | Number two globally by fund assets; 57% of European private-capital funds (Preqin, September 2024) |
| Signature vehicles | SCSp-form RAIF, SOPARFI, SICAV/SIF, ELTIF 2.0 |
| Killer app | AIFMD passport plus RAIF no-CSSF-approval speed |

Legal forms
- SCSp / SCS (partnerships) — tax-transparent private equity, private credit and infra; SCSp is the default (no legal personality)
- RAIF (2016) — AIF wrapper needing an AIFM but no CSSF approval, the workhorse
- SICAV / SICAF / SIF / SICAR — corporate or supervised fund forms
- SOPARFI — fully taxable corporate holding and blocker layer (participation exemption, treaties)
- ELTIF 2.0 (Regulation 2023/606) — a label on a RAIF, Part II, SIF or SICAR for semi-liquid retail long-term
- UCITS — retail liquid workhorse
Tax posture
- SCSp and SCS are transparent; distributions carry no Luxembourg withholding tax
- RAIFs are broadly CIT and NWT exempt and pay only 0.01% subscription tax
- A SOPARFI holdco pays 24.94% combined CIT but gets a 100% participation exemption on qualifying dividends and gains
- A Luxembourg fund is a foreign corporation, so US taxable investors face PFIC risk by default — the same trap as Cayman; US taxable money should not hold it directly without planning
- US tax-exempts use the corporate blocker to strip UBTI; non-US investors rely on the treaty and directive stack to cut withholding
- Treaty relief requires beneficial ownership plus substance (DAC6 and ATAD apply)
- Treaty count is 94 signed (PwC); marketing materials cite a round number near 100, so prefer the signed figure

Why chosen, when not
- Choose for EU institutional and pension capital, ELTIF retail access, securitisation tooling and treaty plumbing
- Avoid when LPs are US taxable or global multi-strategy without EU-passport need (Cayman and Delaware are cheaper and more familiar), or when fixed cost is decisive (mandatory AIFM plus depositary plus auditor)
Structure roles
- Sits in the holding, blocker and EU-feeder layers: a SOPARFI holdco above portfolio assets for withholding engineering, and an SCSp RAIF as the EU master or parallel alongside a Cayman master
- SOPARFIs are the standard treaty-access blocker; Luxembourg does not serve US-taxable pass-through (that is Delaware)

Market data
- Number two global fund centre, number one in Europe; CSSF supervised UCIs €6.79trn (August 2026); Luxembourg for Finance cites €9.065trn total AuM and €3.1trn alternatives — different populations, not reconcilable to one number
- 57% of European private-capital funds (Preqin, September 2024); about 8.2% of global PE (Bain 2024)
- 3,354 RAIFs (2026); private-debt mix 64% RAIFs with SCSp in 80% of cases
- 121 ELTIFs by May 31, 2025; 18 of the 20 largest global PE managers have Luxembourg operations

Regulatory weather 2023–2026
- Enacted: Pillar Two in force since January 2024 (investment funds treated as excluded entities)
- Enacted: AIFMD II transposed via bill 8628, adopted February 12, 2026, adding loan-origination, liquidity and delegation rules
- Enacted: ELTIF 2.0 (Regulation 2023/606) applicable January 10, 2024
- Pending: bill 8814, tabled July 30, 2026, would extend statutory compartment ring-fencing to unregulated SCS and SCSp, closing the gap with Cayman SPCs

Watch items
- Cost versus Cayman: AIFMD II delegation-substance widens the compliance gap for managers who do not need the passport
- Substance and staffing expectations for treaty access raise running cost
- The 8814 compartment bill, if enacted, removes one of the last structural reasons to prefer a Cayman SPC over a Luxembourg SCSp
