Master-Feeder Structures
The master-feeder structure is the tax segmentation device of the offshore fund world. A single master fund does all the trading, and two or more feeders sit above it, each matching a specific investor tax posture to the container that suits it best. ^[reports/Fund structuring tax jurisdictions.md]
The 2015 fund-formation guide describes the canonical shape: a domestic feeder and an offshore feeder (in a tax-free jurisdiction) feed into a single offshore master fund, where all of the trading activity takes place.
US taxable investors want the same tax treatment as if they owned the underlying assets directly, so they sit in a tax-transparent Delaware LP feeder. Non-US and US tax-exempt investors want a corporate blocker that stops ECI and UBTI from ever arising, so they sit in a Cayman corporate feeder. ^[reports/Fund structuring tax jurisdictions.md] Both feeders co-invest through the single master, which allocates investments and their gains and losses on a pro-rata basis back to each feeder.
Why one master, many feeders
The payoff is one portfolio, one P&L, one set of positions, and one set of counterparty arrangements — at the cost of computing NAV for the master and each feeder. ^[reports/Fund structuring tax jurisdictions.md] The structure exists precisely because four investor classes (US taxable, US tax-exempt, non-US, ERISA) have mutually incompatible optimal tax containers yet must share one trading strategy. ^[reports/Fund structuring tax jurisdictions.md]
The master is most often a Cayman exempted LP. Where the strategy is treaty-sensitive — fixed-income or other cases needing US treaty access — the master may instead be an LLC taxed as a US partnership, so the feeders still segment investors while the master itself remains transparent. ^[reports/Fund structuring tax jurisdictions.md]
The domestic-only alternative
A sponsor that expects only US investors — and no significant offshore or tax-exempt participation — can run a single domestic entity and skip the offshore feeder entirely. The 2015 guide frames it directly: if a sponsor anticipates only US investors, a domestic entity is sufficient, and an offshore fund is needed only to shield offshore or tax-exempt investors from US tax liability. Domestic-only also avoids the leverage-UBTI concern, since a levered master feeding a corporate blocker would push tax-exempt investors into UBTI without the blocker. ^[reports/Fund structuring tax jurisdictions.md]
Variants
- Parallel funds — a US fund and an offshore fund that parallel each other in trading under the same manager but keep separate portfolios. Parallel structures allow tax-differentiated decisions a master-feeder cannot, such as holding onshore positions past 12 months for long-term capital-gains treatment while selling offshore positions before dividend record dates. ^[reports/Fund structuring tax jurisdictions.md]
- Mini-master — a master-feeder with a second, smaller master, used when a single master cannot serve everyone (a real-estate master triggers FIRPTA for non-US investors; an ERISA feeder may need its own vehicle to stay under 25%). ^[reports/Fund structuring tax jurisdictions.md]
- Cayman SPC / PCC — a segregated-portfolio company hosting multiple ring-fenced cells, Cayman's umbrella vehicle for multi-strategy and master-feeder platforms. ^[reports/Fund structuring tax jurisdictions.md]
- Luxembourg SICAV compartments — the EU equivalent; a 2026 Luxembourg bill extends statutory compartments to unregulated SCS/SCSp partnership AIFs, closing the historical gap with Cayman. ^[reports/Fund structuring tax jurisdictions.md]
- Strip entities — blocker-plus-passthrough combinations that carve tax treatment along specific asset or income lines within one structure. ^[reports/Fund structuring tax jurisdictions.md]
The design question is ultimately the same one capital-allocation asks at portfolio level — which container carries each dollar best — applied to investor tax postures rather than assets. See valuation-across-asset-classes for why the master's single portfolio is priced as one pool of risk.
