United States Delaware Fund Domicile

United States Delaware Fund Domicile

Verdict

Delaware is the onshore default for private funds worldwide and home to the largest registered-fund market under the 1940 Act. A Delaware LP or LLC gives US taxable investors pass-through K-1 treatment with maximum freedom of contract and Court of Chancery predictability, while a corporate blocker layers non-US and US tax-exempt investors on top. It suits US-targeted capital and global sponsors who want the LP/GP structure every allocator recognises. ^[reports/Fund domicile profiles/United States (Delaware).md]

RegulatorSEC (advisers and funds), CFTC/NFA (commodity pools), states (blue-sky)
Tax headlinePass-through for LPs and LLCs; 21 percent corporate blocker; section 1061 three-year carry rule unchanged
Market rank/share16 percent of emerging hedge-fund flagships (second behind Cayman); about 29.6 trillion dollars US private-fund gross assets at Q4 2025
Signature vehiclesDelaware LP; Delaware LLC; Delaware statutory trust; series LLC
Killer appK-1 pass-through plus the 3(c)(7) exemption plus Chancery contract certainty
  • Delaware LP: workhorse private fund for PE, hedge, credit and VC; GP/LP split and carry waterfall.
  • Delaware LLC: GP, management company, blocker, and flexible smaller or VC funds.
  • Series LLC: multi-strategy ring-fenced series; protected and registered series since 2019.
  • Delaware statutory trust or Massachusetts business trust: registered 1940 Act funds such as mutual funds and ETFs, and REITs.
  • Corporate blocker (C-corp, corp-electing LLC, or foreign corporation): the non-US and tax-exempt interface that stops ECI and UBTI.

RIC and REIT are tax statuses (IRC subchapter M and sections 856 to 860), not entity types, layered onto a trust or corporation. ^[reports/Fund domicile profiles/United States (Delaware).md]

Tax posture

  • Fund level: an LP or LLC taxed as a partnership pays no federal income tax; income and character flow through on K-1s (long-term capital gain, qualified business income, QSBS, foreign tax credits preserved).
  • Blocker layer: a US blocker pays 21 percent federal plus state; a foreign blocker faces 30 percent US-source withholding and roughly 44.7 percent effective on ECI.
  • Section 1061 recharacterises carry gains as short-term unless held over three years, unchanged by OBBBA (enacted 4 July 2025), which instead made the section 199A 20 percent QBI deduction permanent and restored EBITDA-based section 163(j).
  • US taxable investors: pass-through is optimal; a foreign pooled vehicle is a PFIC/CFC trap.
  • US tax-exempts: the blocker converts UBTI (including section 514 debt-financed income) into excluded dividend income.
  • Non-US: FIRPTA section 897 plus 15 percent withholding on USRPI dispositions.

The blocker and the partnership are always paired: the blocker serves non-US and tax-exempt money while the partnership serves US taxable money. ^[reports/Fund structuring tax jurisdictions.md] OBBBA tilted the pass-through case modestly in favour of the US without moving the 21 percent rate or the carry rule. ^[reports/Fund domicile profiles/United States (Delaware).md]

Why chosen and when not

Choose Delaware for the deepest US-taxable LP base, the 40 Act market, Chancery contract freedom, and service-provider density (2.28 million entities and 334,461 formations in 2025). Avoid it for non-US or tax-exempt-dominated capital without blockers (the 21 percent layer is inefficient versus a fund-domicile-cayman blocker), or where an EU marketing passport is needed, using fund-domicile-luxembourg or fund-domicile-ireland instead.

Structure roles

Delaware fills the onshore feeder, GP, management-company, blocker and parallel roles in a master-feeder stack: a Delaware onshore feeder for US taxable investors plus a Cayman offshore feeder over a Cayman master, Delaware LLCs as GP and ManCo, and Delaware or Cayman corporate blockers for non-US and tax-exempt LPs. The master is typically Cayman; Delaware rarely serves as the cross-border master. See fund-domiciles and investor-tax-structures. ^[reports/Fund structuring tax jurisdictions.md]

Market data

  • 58,891 private funds with 29.6 trillion dollars gross and 19.0 trillion dollars net assets per Form PF Q4 2025 (up 18.5 percent and 16.3 percent year over year). ^[reports/Fund domicile profiles/United States (Delaware).md]
  • Hedge funds led gross asset value at 14.4 trillion dollars, then PE at 9.3 trillion dollars at 2025 Q4.
  • 16 percent of emerging-manager flagships versus fund-domicile-cayman at 56 percent (2026 AIMA/Marex survey). ^[reports/Fund structuring tax jurisdictions.md]
  • Delaware: 2.28 million plus entities and 334,461 new formations in 2025.

The US leads total private-fund AUM by a wide margin while Cayman leads offshore fund formation by count; the 16 percent share reflects Delaware as the offshore-equivalent for sponsors who want LP-law clarity even for non-US capital. ^[reports/Fund domicile profiles/United States (Delaware).md]

Regulatory weather 2023-2026

  • Enacted: Private Fund Adviser Rules vacated in full 5 June 2024 (NAPFM v SEC), restoring the pre-2023 baseline. ^[reports/Fund structuring tax jurisdictions.md]
  • Enacted: OBBBA 4 July 2025 made section 199A and the 37 percent top rate permanent and restored EBITDA section 163(j) with no carried-interest change.
  • Pending: H.R. 3673 (introduced 3 June 2025) would raise the private-fund-adviser exemption from 150 million to 175 million dollars with CPI indexing; status unconfirmed as of October 2026.
  • Enforcement has shifted toward fraud, section 206(4) and fee-disclosure theories.

Watch items

  • State-tax complexity: multi-state pass-through filings and nonresident-partner withholding in California, New York and Georgia are the largest administrative surprise for sponsors.
  • ERISA plan-assets: funds stay under the 25 percent benefit-plan threshold or use VCOC status to avoid fiduciary duties (threshold not re-verified this pass).
  • Reverse solicitation is not a safe harbor; non-US managers must avoid general solicitation and verify accredited or qualified-purchaser status.
